Section 17(b) Disclosure

Rialto Markets may receive a percentage of the capital raised per offering paid by the Issuer. This percentage is generally 1%.

For Regulation A+ and Regulation C offerings, Rialto Markets’ fees generally consist of filing, set-up and consulting fees paid by the Issuer.

Rialto Markets and other third-party service fees for each offering are disclosed in the respective offering materials. Rialto Markets may also receive a security-based compensation from the Issuer equal to a percentage of the number of securities sold, in lieu of, or in addition to the above.

Rialto Markets does not charge fees to Investors at this time.
